These Terms and Conditions (“Terms”) govern your use of the services provided by AsiaVerify (“the Company,” “we,” “us,” or “our”). By accessing or using our services, you (“User”) agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Contract Period

1.1 Effective Date and Term:

This agreement, constituted by the User’s execution of this Contract (the “Agreement”), shall take effect from the Effective Date and shall remain effective for the subscription period selected by the User, either monthly or 12 months (“Initial Term”). Upon expiration of the Initial Term, this Agreement will automatically renew for successive periods equal to the Initial Term (“Renewal Term”), unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current Term for Yearly Pro subscriptions or thirty (30) days prior for Monthly Pro subscriptions to our Support team at [email protected].

For the Starter Pack (bundle plan), this Agreement will not automatically renew and will terminate at the end of the 12-month period unless otherwise specified.

1.2 Subscription Fees:

The Subscription Fees for any Renewal Term shall be as specified in the initial Agreement unless otherwise agreed in writing or subject to adjustments.

1.3 Payment Terms for Subscription Plans:

Starter Pack (12 months, no auto-renewal, paid upfront): Users pay upfront for a 12-month bundle plan with no auto-renewal.

Yearly Pro (12 months, auto-renewal, paid upfront): Users pay upfront for a 12-month auto-renewal subscription at a discounted rate compared to the monthly option.

Monthly Pro (12 months, auto-renewal, paid monthly): Users pay monthly for a 12-month auto-renewal subscription at a higher rate than the Yearly Pro plan.

By allowing auto-renewal of the Subscription, the User acknowledges that all terms and conditions of this Agreement, including payment obligations, will remain in full force and effect during any Renewal Term.

Users may request a downgrade to a lower subscription package before renewal. Downgrades take effect at the next billing cycle, and any remaining balance from the previous plan is non-refundable.

1.4 Termination:

Either Party may terminate this Agreement as per the Termination provisions outlined in Section 2, applicable to both the Initial and any Renewal Term(s).

2. Termination

2.1 Breach:

In the event of a breach of any term of this Contract by either Party, the non-defaulting Party may notify the defaulting Party in writing of the breach. If the breach is not remedied within thirty (30) days of receiving such notice, the non-defaulting Party has the right to terminate the Contract immediately via written notice.

2.2 Termination by User:

Starter Pack: No cancellation is permitted.

Yearly Pro: The User may cancel by providing a written request to [email protected] with a sixty (60) days’ notice before the renewal date.

Monthly Pro: The User may cancel by providing a written request to [email protected] with a thirty (30) days’ notice before the renewal date.

Users remain liable for all agreed fees and expenses incurred up to and including the termination date.

Users acknowledge that cancellations are final, and no refunds will be provided for unused subscription time or balance.

3. Balance

The User’s subscription will last according to the selected subscription type:

Starter Pack (12 months): Balance must be used within the 12-month subscription period. Users can top up their balance before the subscription ends, but unused balance expires at the end of the term.

Yearly Pro (12 months, auto-renewal): Balance must be used within the 12-month period. Users can top up their balance before the subscription ends, but unused balance expires at the end of each 12-month term. Monthly Pro (1 month, auto-renewal): Balance must be used within each monthly period, with no carry-over. Users can top up their balance before the month ends, but unused balance expires at the end of the month.

For all subscription types, Users are encouraged to ensure full usage, management, and consumption of the balance within the designated period. No refunds, extensions, or rollovers will be provided for unused balance.

4. Turnaround Time

4.1 Definition:

Turnaround time for services may vary based on the type and country of the search. AsiaVerify will use its best efforts to provide the requested information; however, circumstances beyond the Company’s control may arise that prevent a search from being completed. In such cases, AsiaVerify is obligated to use reasonable efforts to provide the information.

5. Fees and Payment

5.1 Payment Terms:

Fees for services are outlined in the selected subscription plan by the User. Payments should be made via bank transfer, credit card, or other approved payment methods. Accounts not settled by the due date will incur an interest charge of 2% per month.

5.2 Additional Fees:

If physical checks or documentary verifications are necessary, the User will be informed of any additional disbursements and expenses that will be passed on at cost.

5.3 Third-Party Charges:

The User agrees to cover third-party fees or mandatory expenses related to the service. AsiaVerify will consult the User before any such fees are incurred.

5.4 Delayed Information:

If third parties do not release information within 30 days after the first request, the verification will be considered complete, and full fees will apply.

6. Compliance

Both AsiaVerify and the User agree to comply with all relevant laws and regulations when providing services under this Agreement, including data privacy laws. Users are responsible for ensuring compliance with applicable data privacy laws when using AsiaVerify services, including obtaining consent from relevant individuals whose data is being accessed.

7. Confidentiality

AsiaVerify will employ commercially reasonable security measures to protect the confidentiality of user data. However, disclosure may be required in response to valid legal requests.

7.1 Non-Disclosure:

Except where necessary for completing the Report, both Parties agree not to disclose or use any confidential or proprietary information belonging to the other Party.

7.2 Disclosures Required by Law:

This confidentiality clause shall not prohibit the disclosure of confidential information if required by law, court order, or government regulation.

8. Indemnity

Each Party agrees to indemnify, defend, and hold harmless the other Party, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, expenses (including legal fees), or proceedings arising out of or related to the indemnifying Party’s breach of this Agreement.

9. Limitations on Liability

AsiaVerify shall not be liable for any indirect, consequential, incidental, or special damages, including lost profits, loss of business, or loss of data. The total liability of AsiaVerify, whether in contract, tort, or otherwise, shall not exceed twice the total fees paid by the User in the 12-month period preceding the occurrence of the event giving rise to the liability. AsiaVerify shall not be liable for any decisions, actions, or reliance on reports by third parties. The User assumes full responsibility for using the information provided.

10. Retention of Data

10.1 Data Deletion:

Upon receiving written instructions from the User, AsiaVerify agrees to delete or return all data provided by the User.

10.2 Data Retention:

AsiaVerify may retain certain data as required for compliance with applicable laws and regulations.

11. Force Majeure

Neither Party shall be held liable for any failure or delay in the performance of its obligations under this Agreement due to events beyond their reasonable control.

12. General Terms

12.1 Validity:

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

12.2 Entire Agreement:

These Terms and Conditions constitute the entire agreement between the Parties. Any modifications must be made in writing and executed by both Parties.
